If you do not agree to these Terms, you may not use the Service.

2. Description of the service

FinSight360 is a multi-entity financial intelligence platform. The Service connects to your accounting systems (such as QuickBooks, Xero, NetSuite, and Sage Intacct) and consolidates your financial data to provide reporting, dashboards, key performance indicators (KPIs), and AI-assisted features including insights, forecasting, and anomaly detection. The features, integrations, and capabilities of the Service may change over time as we improve and develop the platform. Some features may depend on the plan you select or on third-party services you choose to connect.

3. Accounts & eligibility

To use most features of the Service you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account. You must be at least the age of majority in your jurisdiction and capable of forming a binding contract to use the Service. You are responsible for ensuring that everyone who accesses the Service through your account complies with these Terms.

4. Acceptable use / restrictions

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not, and may not permit anyone else to:

• access or use the Service in violation of any applicable law, regulation, or third-party right;
• upload or transmit data you do not have the right to provide, or that infringes the rights of others;
• attempt to gain unauthorized access to the Service, other accounts, or our systems or networks;
• reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by law;
• interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests;
• resell, sublicense, or use the Service to build a competing product; or
• introduce malware or other harmful code, or use the Service to send unsolicited communications.

5. Subscriptions, plans & billing

The Service is offered on flat monthly subscription plans. We offer a 14-day free trial, and there is no setup fee. After any trial period, your subscription will begin and the applicable fees will be charged unless you cancel beforehand. Fees, plan features, and limits are described on our pricing page or in an applicable order form.

Unless otherwise stated, subscriptions renew automatically at the end of each billing period at the then-current rates. You authorize us (and our payment processor) to charge your payment method on a recurring basis. Fees are exclusive of taxes, which you are responsible for paying. Except where required by law, fees are non-refundable. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you will retain access until then. We may change our prices on reasonable prior notice, effective as of your next renewal.

6. Customer data & accounting-system connections

As between you and us, you retain all rights, title, and interest in and to the financial and other data you submit to the Service or that we access from accounting systems you connect ("Customer Data"). You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display Customer Data solely as necessary to provide, secure, maintain, and improve the Service and as otherwise permitted in these Terms and our Privacy Policy.

When you connect an accounting system, you authorize us to access and retrieve data from that system on your behalf through its supported interfaces. You are responsible for obtaining any consents and permissions necessary to grant that access and to provide the Customer Data to us. You can disconnect a connected system at any time, which will stop future data synchronization for that system.

7. Intellectual property

The Service, including all software, models, designs, text, graphics, and other content (excluding Customer Data), and all related intellectual property rights, are and remain the exclusive property of FinSight360 and its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term. No rights are granted to you other than as expressly set out in these Terms. If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable license to use it without restriction or obligation to you.

8. Third-party services

The Service relies on and integrates with third-party services, including accounting-system connectors and email delivery providers. Your use of those third-party services may be subject to their own terms and privacy policies, and we are not responsible for their availability, accuracy, security, or practices. We do not endorse and are not liable for any third-party service, and the inclusion of an integration does not imply affiliation. If a third-party service changes or becomes unavailable, related features of the Service may be affected.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data, report, or output will be accurate or complete.

AI-generated insights, forecasts, KPIs, anomaly detection, and similar outputs are provided for informational purposes only. They are generated from your connected data, which is typically refreshed on a daily basis and is not real-time, and they may contain errors, omissions, or inaccuracies. These outputs do not constitute financial, investment, tax, legal, or accounting advice, and they are not a substitute for professional judgment. You are responsible for independently reviewing and verifying any output before relying on or acting upon it.

10. Limitation of liability

To the maximum extent permitted by law, in no event will FinSight360 or its affiliates, officers, employees, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Service will not exceed the amounts you paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless FinSight360 and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Term & termination

These Terms remain in effect for as long as you use the Service or maintain an account. You may stop using the Service and cancel your subscription at any time as described above. We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases. We may retain or delete Customer Data following termination in accordance with our Privacy Policy and applicable law; you are responsible for exporting any data you wish to keep before your account is closed. Sections that by their nature should survive termination will survive.

13. Changes to the service or terms

We may modify, suspend, or discontinue all or part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service.

14. Governing law & dispute resolution
